- Michelle (Xin) Shao, Managing Attorney at The Shao Law Offices Michelle graduated from Peking University Law School and has extensive experience in representing Venture Capital firms and start-up companies in Venture Capital backed transactions. She specializes in general corporate law, corporate finance and merger & acquisition.
The talk will cover:
- Introduction of key terms in a convertible note and Series A financing such as concept of cap in a convertible note, liquidation rights, right of first refusal, anti-dilution, information rights, voting rights, registration rights and ect.
- Difference between term sheets of early stage financing e.g. convertible note or seed round financing and term sheet of series A financing
- Q/A session
