This session aims to provide activists, entrepreneurs, and social innovators with a framework for thinking about different corporate structuring and financing options for their ventures. The workshop will address common early-stage questions, and introduce innovative legal and capital structures.

After learning the essentials about corporate structure, financing, and other issues unique to mission-driven enterprises, attendees will have the opportunity to participate in an interactive case study and ask specific questions about the presentation’s content as it relates to their ultimate dream social enterprise or organization.


• Explanation of various for profit and non-profit legal structures, and benefits and drawbacks of each

• Overview of what is happening in recent Benefit Corporation legislation across the country

• Explanation of financing options for both for profit and non-profit social enterprises

• Overview of the JOBS Act and what it could mean for how social enterprises and small businesses raise money

• How to legally prevent “mission drift” for your social enterprise 


• Early stage entrepreneurs or those considering starting a socially-minded venture



Aroma Sharma is a Research Scholar in Law and Social Enterprise at the NYU School of Law. Her research focuses on securities laws and how entrepreneurs can better raise capital for their new ventures, with special focus on changes and new exemptions created by the JOBS Act. She has spoken on securities regulation at the Silicon Valley Crowdfunding Conference, and has instructed a Legal Workshop for Social Entrepreneurs at the Centre for Social Innovation. Aroma earned her J.D. from Santa Clara University School of Law, B.A. and B.S. from the University of California, Berkeley. Anurag Gupta is a Research Scholar in Law and Social Enterprise at the NYU School of Law and Special Counsel at the Vera Institute of Justice. He has instructed a Legal Workshop for Social Entrepreneurs at the Centre for Social Innovation. Anurag received his J.D. from the NYU School of Law, where he was a Reynolds Fellow in Social Entrepreneurship and a Root-Tilden-Kern Scholar, and M.Phil from the University of Cambridge.
