How to Negotiate a Term Sheet

Time to talk legal! It's the stuff that most startups hate talking about but is an ABSOLUTE MUST!

 

Why isn't legal talk so repulsive talk for many startup entrepreneurs? Is it the cost? Maybe it's the complex language that lawyers write draft. Whatever the reason is, you simply cannot ignore the importance of contract negotiations.

 

Picture this:

You've spent time flushing out your business model, building your prototype and MVP. Then, you've been able to gain traction with customers buying into your product/service. All of a sudden an investor wants to invest now and throws you a term sheet. What do you freaking do?!!! Don't go into that meeting unprepared!

 

Become a rockstar negotiator and get a head start! However, you won't get there if you are ignorant of how term sheets work.

 

Learn the basics!

 

First question: Do you know how to read it?

Second question: Even if you could understand the legal mumbo jumbo, do you even know how to negotiate? What should you ask for?

Daniel Wu is a corporate attorney with Fortis General Counsel, LLP and works primarily with emerging technology companies and angel investors on venture capital financings, M&A and other commercial matters. Dan is a proud Bruin (UCLA School of Law ‘99) and holds an MBA from Insead. Prior to Fortis, Dan worked at Skadden and O’Melveny & Myers, and is also a former investment banker.
