Finding Your Way Around Investment Docs-Adrian Daniels, Partner, Yigal Arnon&Co

As TechLoft's lawyers and strategic partners, one of our main goals is to better prepare start-ups to deal with investors and obtain that hoped for investment.

To that end, we'd like to share with you some of our knowledge and experience in preparing Angel & VC investment documents, and expose you to their key terms and critical points.

Our lecture will be provided over 2 sessions (in English) and will focus on:

(1) providing you with an overview of the basic legal structure of the Venture Capital deal;

(2) understanding the various provisions of the typical investment documents; and

(3) discussing which terms are important to negotiate.

- During our 1st session (June 19th, 2012); we will go through and understand the structure of the industry's typical share purchase agreement and share repurchase agreement, covering such topics as investment structures, reps and warranties, conditions to closing, restricted shares and reverse vesting.

- During our 2nd session (July 3rd, 2012); we will review and explain the articles of association and investor's rights agreement. We will help you understand commonly used terms like preferred shares, veto rights, anti-dilution rights, rights of first refusal, tag along and registration rights.

We're looking forward to seeing you and hope our lectures will help you become better prepared and educated when negotiating investment terms with your potential investors.

A very good presentation of the subject: a concise overview, on one hand, and a clear presentation of the details, on the other hand.
    Effective for me.

Guys, i missed the meeting but intent to come to the 2nd one. Is there are presentation or summary of this session available?

    June 20, 2012

  • Barry S.

Thanks for a great overview of required investment docs. My background is in starting and managing start ups in the States. I am currently providing services for startups that need assistance with drafting an executive summary and a business plan. I also have connections to angel investors in the States and to VCs in Canada that review companies for investment purposes. If I can assist, please be in touch.

I should be in Netanya at 6pm (in case the event starts at 7:30), so I'll be leaving at 6:30.

This is confusing - adding the event to calendar ( export->google) displays beginning time as 6:30.

    June 19, 2012

  • Gitai Z.

Thnx, I'll let you know. What time r u planing?

    June 19, 2012

  • Andrey P.

I'll be going through Netanya. Let me know if you have no other possibility, so I'll change my route and drive by. This is fine with me.
