Try this: http://stackoverflow.com/questions/5074695/how-to-merge-two-apk-into-single-so-that-both-apps-can-be-installed-at-the-same
Looks fairly straightforward.

I'm so sorry to trouble you with this email and apologize for any inconvenience if i cause any.
My team and I are developing a location based mobile app. We have a user
interface and background service. These two do not overlap in any way.
What we need is to merge those two source codes to make it one app (one apk).
We are in a time crunch, so if there is anyone that can do it, please let me
know, we would be more than happy to compensate you for that. Alternatively we
would appreciate any pointers how to do it.
(the background service, when installed runs continuously, and user interface
runs when launched).
Thank you in advance if you can be of any help.
