Developers' and Key Employees' Perspective: Developers and key employees who join startups take high risks, but can benefit from exciting equity compensation, resulting as high future payoffs during an exit event, or even when selling their private shares or stock options via a secondary deal.

Founders' Perspective: Founders have the difficult task of ensuring that there will be enough left on their cap table to attract future talent and raise capital, without diluting themselves and reducing their motivation.
