This month, we'll dig a little deeper into Oregon's 'Community Public Offering', looking briefly into how investors are protected and the types of deals that are possible, before digging a little deeper into what to look for when considering making an investment.

Because under these rules the onus of due diligence sits squarely with the investor, it's good to have a checklist when reading offering documents. We'll be going through how to check for:

  1. Completeness: What exactly are entrepreneurs required (by law) to disclose in their offering documents? (And what do they submit to the state?)
  2. Transparency: What are some extra things to look for that indicate a high level of transparency in the offering?
  3. Liquidity: What are the exit options with each type of offering?
  4. Risk/Red Flags: When should you stop and dig deeper before making a decision?
