Fundraising is hard. Understanding the perspective of the key players in the process can help achieve a successful outcome. Founders, employees, Board members, investors and counsel all work together. Each of these folks have their own incentives, duties and goals. When alignment is achieved, the deal gets done and, more importantly, a team comes together to move beyond the process of capital raising and into capital formation.

Bio:
David Pendergast helps founders and investors build companies as an attorney in the Emerging Companies group at Latham & Watkins. Previously, he was a co-founder of Arrivo Corporation, which sought to build a high-throughput urban maglev transportation system, where he led fundraising and strategic partnerships, and served in corporate development and legal leadership roles at Hyperloop One and PCH International. At PCH, he helped to create Highway1 and PCH Access, early and late stage hardware startup accelerator programs, and played a key role in PCH’s investment in more than 80 hardware startups. Prior to going in-house, David was an IPO and debt capital markets lawyer in Hong Kong, where he advised companies and investment banks on dozens of deals that raised over $8 billion.
