About the Session:

This Session will highlight the importance of adherence to good corporate governance standards for startups, particularly those operating in the social enterprise sectors.

It is common to find startups that overlook critical governance issues in the early stages of their lifecycle. Typically, this is either due to (i) lack of funds; (ii) lack of good advisors; or (iii) lack of knowledge. Whatever the reasons for poor corporate governance, it would be ironic if a social impact startup were to be hauled up by governmental/regulatory authorities for falling foul of the letter of the law. Therefore, it would be useful for startups to be aware of their obligations under applicable law and take simple steps to ensure compliance with such statutory obligations.

Some of the broad issues that the speaker would be addressing in the Session are as follows:

Why is it important for startups to conduct board and shareholder meetings as per requirements of the Companies Act, 2013?

What are the fiduciary responsibilities of Directors and Shareholders?

What are the statutory obligations of “key managerial personnel” such as the CEO/CFO?

What are related party transactions? How can such transactions be structured in a legally compliant manner?

Why it is important for startups to maintain secretarial hygiene- minutes of meetings, maintenance of statutory registers, filings with the Registrar of Companies etc?
