Anatomy of the Convertible Loan Agreement
**🎉 Happy New Year, Startup Berlin! 🎉**
First of all: happy new year to everyone in the community – founders, builders, operators, and the startup-curious 👋
I’m excited to step in as a new organizer and help keep Startup Berlin a practical, founder-first network.
To kick off 2026, I’m thinking about a **casual “Happy New Year” get-together** in Berlin:
* 🍕 Pizza & 🍺 beer
* 🤝 relaxed networking
* 🎓 a **30-minute practical intro session**:
**“Anatomy of a … agreement”**
(no legalese, no theory – just what actually matters in practice)
After the short session, plenty of time to hang out, meet people, and exchange war stories.
**Update: It is going to be about the Convertible Loan Agreement!**
Further topics to be covered in future sessions:
* Shareholders’ Agreement – control, vetoes, deadlocks, exits
* Employment Agreements – early hires, ESOP/VSOP, typical pitfalls
* Founder Agreements – equity splits, vesting, break-ups
* Something else? (tell us!)
If there’s enough interest, I’ll organize a date and venue shortly (presumably Feb 6th). Depending on the turn-out we might have to restrict participation due to available space (we will find a way for doing it fairly and no worries, there will be more sessions and I am happy to repeat).
Looking forward to hearing what would be most valuable for the community – and hopefully seeing many of you in person soon. 🚀
Vernissage: Tales of Texture. Danica Ružić
A curious psychologist turned artist, an imaginative online community & generative AI technology: What happens when they collide?
Step into the unexpected — join us and shape the story!
"Tales of Texture" is a collection of A3 sized mixed-media paintings, featuring unique and hand crafted textured elements (Texture Peelies). The series explores the dynamic interplay of vibrant, surreal neon colors and organic, earthy textures.
With each piece the artist invites viewers to explore the depths of their own imagination and uncover hidden forms and stories within the layered textures. Online comments and interpretations of the original paintings inspired the artist to bring the comments to life using genAI technology.
The aim of this exhibition is to continue the dialogue with the audience outside of the virtual and within the real world.
**About the Artist**
Danica Ružić is a Berlin-based contemporary artist whose vibrant and whimsical works captivate audiences, spark joy, and inspire self-reflection. Born in Zagreb, Croatia, Danica navigated frequent relocations in her youth, with art and family as her constants.
Her background in psychology fuels her fascination with the therapeutic potential of creativity. During the COVID-19 pandemic, Danica turned to urban sketching, which deepened her self-exploration and healing through art. Her more recent abstract paintings, characterized by bright colors, magical creatures, rainbows, and glitter celebrate childlike imagination and invite viewers to embrace self-discovery.
Danica's mission is to inspire others, showcasing creativity as a powerful tool for healing and self-expression. She encourages celebrating the beauty and intricacy of the Self, advocating for authenticity and vulnerability in a changing world.
She shares her passion in “Beyond the Brush: Alternative Art Practices” painting workshops, inspiring participants to create abstract art using recycled materials.
Her work, praised for sparking curiosity and evoking a sense of possibility, blurs the lines between reality and imagination.

Sunday Tech Coffee Meetup
Welcome to Sunday Tech Coffee. This is a **networking** event for those in the tech industry in Berlin.
We are usually inside and to the right. Ask the barista/bartender if you can't find us.
🥇 “A Table for Serious Conversation”
This is a small, focused conversation group for people who enjoy thinking out loud, slowly, honestly, and with others.
We’re not here to debate, perform intelligence, or reach conclusions.
We’re here to sit with a question and see where it actually leads.
To keep the group intentional and manageable, there is a €1 deposit for this meetup.
This is not about money, it’s simply a way to make sure that people who join actually plan to show up.
The group will be kept small to protect the quality of the conversation.
Please come with curiosity, patience, and a willingness to listen as much as you speak.

Respect and Safety:
There is always at least one organizer present at every meetup. If you ever feel unsafe or bothered by someone’s behavior, you can reach out to an organizer privately. Your identity will remain confidential, your concern will be taken seriously, and no inappropriate behavior is tolerated — anyone making others feel uncomfortable will be removed from the group immediately.
We hope to see you there. Bring yourself, your smile, drawing materials, your stories—or just your comfy self. 😊
Let’s make Saturday a little more laid-back, a little more social and a lot more nice.
See you soon!

Silent Reading Club

A new way to enjoy reading! Ditch the old book club, where everyone has to read the same book…this is better!
It works like this: Bring your own book. Come chat, have some tea or coffee, get to know your neighbors. Then we quietly read together, side by side, for about one hour, each one reading their own book, and afterwards we talk with each other about what we are reading.
You may read in any language, you may read any book. We are a group of international residents of Berlin from many different countries, of all ages, and we converse in English. We welcome you!
no registration needed- the event is donation based
Truth Without Apology: A Space for Self-Enquiry and Honest Reflection✨
Hello everyone,
This event welcomes everyone curious about themselves and their life. Open to self enquiry, to ask questions, to search for answers, to share and to connect with others, with openness, honesty and vulnerability. Regardless of our differences, we are all alike in our humanness. No judgements, it is a safe space to read and to reflect. We are here to hold space for one another.
For our first event we'll be taking the guidance for the discussion from a one of a kind book and a bestseller at that, Truth Without Apology written by Acharya Prashant. The book comprises of 1 page chapters bringing together philosophy, spirituality and psychology in such a way so that the reader can reflect clearly on their life, day to day decisions, what weighs heavy on their heart and mind and how they can free themselves from "sweet lies" that may comfort but keep them trapped in the same cycles...
We will have multiple copies of the book available for attendees at the venue for discussion and if you'd like to pre-read you can also get yourself an e-book at https://a.co/d/1Z2r7Hs

CBusData - Ok I Want to Get Data into Fabric - Now What?
I love my job and one of the main things I do is help customers get going with any of the data technologies at Microsoft. Right now there are a lot of my customers asking about Microsoft Fabric. It's hard to weave across all the shiny new options across the Fabric landscape, let alone figure out where it fits into your organization. In this session we'll focus on answering one question - how can I get data into Fabric? We'll talk through the "it depends" options and see some of the options in live demos.

Join members of the local UX and Digital Design community for a casual monthly breakfast. There _might_ be a little snow, but there _will_ be effectively infinite serve-yourself coffee, so it evens out if you ask me.
Just a reminder, while the other locations are great too, we’re at the Lane Ave one this time.
Data & Analytics Wednesday - Compensation Data
**People Analytics 101: Making Sense of Compensation Data**
Compensation data is one of the most widely used and widely misunderstood forms of people analytics.
The session will cover where compensation data comes from, including market pricing data, internal payroll data, and benchmarking sources, and how companies think about structuring and analyzing that information. We will explore how compensation data is leveraged to set salary ranges, manage internal equity, support hiring and retention, and align pay with business strategy. A portion of the session will address common data challenges and limitations, such as market noise, inconsistent job matching, and incomplete datasets, while keeping the primary focus on practical use rather than technical depth.
The session will also look ahead at where the space is going, including the growing impact of pay transparency laws, expanding pay equity requirements, and emerging regulations in the US and Europe that require organizations to report on gender and pay gaps. The goal is to give attendees a clear mental model for how compensation analytics works today and why getting it right is becoming increasingly critical.
(note: we are back at Rev1 this month!)

Free in Person Meeting - Get Over Losses and Betrayls
Do you want more motivation and confidence to build Lasting Relationships?
This is a free, in-person meeting on the subject of betrayals, losses and how to get over them so you can build lasting relationships.
Are you burdened by a stressful relationship? Unhealthy relationships can trigger feelings of anger, despair or self-doubt. They can create dwindling spirals of fights and seeking to make-up, or trying to “pin the blame” on someone or something. If you don’t find the RIGHT reasons, or select the correct sources of the problem, the problem can just get worse and worse.
Whether in love or personal ties, with friends or at work, our life really IS affected by the quality of our relationships. Good ones can promote pleasure and survival, while less optimum ones can lead to annoyance, anger, self-doubt, stress, or even affect our health and ability to survive well.
Whether you are suffering from a divorce, or a painful break-up, don’t know who to trust (or who to CHOOSE) as a partner, friend, boss or employee - the anxiety of relationship troubles can really make a mess of things. Maybe you’ve suffered a betrayal, or are dealing with hostility or criticalness or invalidation. Dwindling relationships can involve destructive behavior, where we hurt those we love, or start succumbing to self-destructive thoughts, attitudes or behaviors that spiral out of control and affect much more than our immediate relationship.
Past losses in love or life can affect how we act or react to new people and situations and hold us back from even starting to create new, possibly great relationships! How can one get back onto a saner course of action?
Come to our Meetup, where we can introduce you to some of the knowledge, tools and techniques of the breakthroughs in the field of the mind that we can apply to this ever important area of life: human relationships!
Break free from self imposed limitations
Here we will discuss:
• How to “erase” the trauma of past hurts and betrayals so that one isn’t always repeating past mistakes.
• Why and how do the negative emotions of others affect you?
• Why is my partner withdrawing and what can I do about it?
• Why do we sometimes feel compelled to hurt the ones we love?
• Fights & arguments - what's really behind them?
• What underlies “corrosive criticism” or the need to invalidate self or others?
• How one can stably change one’s outlook on life so they can affect positive change?
• Where do compulsive destructive behaviors come from and what can be done about them?
• How to form closer bonds & keep growing the relationships with the people you care about?
• How to enhance one’s own ability to survive and create positive healthy relationships whether in love, family & friendships or in work, business or one’s career?
Relationships can be hard and life itself IS challenging. Why not arm yourself with the knowledge and breakthroughs that have been made about the mind, mental reactions & interpersonal relationships, so that one has better awareness and control over themselves and life in general.
Learn where painful experiences are “stored” and how they can unknowingly affect us. You will also find out how one can “erase” those past painful experiences so that one is free to move forward without being tripped up by the past. Learn too, about what can lead some people to become “toxic” personalities and how to identify those traits in others so you won’t be tripped up trusting the wrong person.
Our free Meet-ups occur in a safe environment where one can learn, without fear of judgment or criticism, and without the recommendation of harmful mental techniques or therapies, just how YOU can get yourself onto a happier & more successful path: in love & in life.
Be sure to click on the red "Attend" button below to come to this local event. We look forward to seeing you there.
This class is held at the Dianetics and Scientology Life Improvement Center.
